Definitions

For the purpose of the Self Service Dashboard, the following terms have the following meanings:

Advertiser Individuals or companies who register with Reporo to purchase traffic for banners and/or redirects and/or popunders.  
Ad Material Is without limitation any text, links, banners, videos, audio, photographs, images, illustrations or graphics belonging to the Advertiser.  
Ad Code HTML code that is placed on any page of an approved site, allowing Advertising to be shown on that page in a specific ad layout format  
Ad Network Shall mean MobilewebAdz Ltd trading as Reporo. A Company that, through its ad server, platform and technology, connects Web Sites or Mobile Sites and Applications of different Publishers in order to host Ad Materials.  
Ad Network Technology The platform and the technology used used by Ad network to manage, display and place Advertising material on web sites or mobile sites and applications.  
Banner Network Traffic stream ad slots/banners displays on a publishing site (display advertisements)  
Campaign(s) Refers to the series of banners or redirects belonging to an Advertiser.  
Campaign Group(s) A consolidation of similar Campaigns managed at a top level, single location.  
Clicks Defined by when a banner is clicked by a user on a publishing website.  
CPC (Cost per Click) The cost chargeable for an effective click on the Advertising Material . An effective click is an occasion in which a consumer clicks on the Advertising material directing them to the Advertisers landing page or website  
CPM (Cost per Mille) The cost chargeable for one thousand impressions. Impressions are the unique deliveries deliveries of the Ad material to consumers  
CPA (Cost Per Acquisition)

The cost chargeable for each specified action, for example a purchase or a form submission, linked to the Ad material

 
CTR (Click through rate) The average number of clicks per impression, represented as a percentage (i.e. 2 clicks per 500 impressions is 0.4%)   
Customers Customers accessing the Ad Material.  
Force Majeure Circumstances beyond the reasonable control of a Party including without limitation. For example acts of God, fire, flood, war, insurrection or civil disorder. Requirements imposed by or pursuant to government regulation, or civil or military authorities or Network Operator or Network acts and/or omissions, which by their very nature could not have been foreseen by such a Party or if it could have been foreseen was unavoidable  
Funds Credit if prepaid in an Advertiser's account, displayed in USD $.  
Impressions Defined as when a banner is viewed by a user on a publishing website.  An impression is when an ad is fetched from its source, and is countable. Whether the ad is clicked is not taken into account. Each time an ad is fetched it is counted as one impression  
Intellectual Property Rights

All patents, rights to inventories, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in tangible and intangible assets including without limitation in respect of text, data, graphics, photographs, videos, animations, images and audio visual content, trade dress or get-up, rights in goodwill to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, topography rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for renewals or extensions or such rights, and all similar or equivalent rights or forms of protection in any part of the world.

 
IO (Insertion Order) Written authorisation to display creatives on a publisher's website(s). Without limitation any specification and/or details, remarks, traffic restrictions, payment plan models and/or any rates as applicable to the Ad materials, or campaign of the Advertiser and which is subject to these Terms and Conditions. In the event of any discrepancy between the Terms and Conditions and the insertion order the Terms and Conditions shall prevail.  
Media Place The Web Sites or the Mobile Sites and Applications belonging to a sole Publisher or to different Publishers connected by Ad Network through its technology.  
Mobile Site

A website used through browser-based Internet services from handheld mobile devices, such as smartphones or feature phones, through a wi-fi, mobile or other wireless network. 

 
Net Revenues The revenue received by Ad Network from sale of Ad Material displayed on Web Sites or Mobile Sites and Mobile Applications through Ad Network's Technology and network, less any applicable taxes.  
Parties Publisher and Ad Network hereinafter jointly referred to as the Parties or individually as a Party.  
Pre Pay A default payment model where Publishers are paid in advance.  
Post Pay A payment option where the Publisher offers Mobilewebadz an agreed amount of credit.  
Popunder Network Traffic stream of redirections from publishing sites, taking Users to a destination URL in a new browser window that remains underneath/behind the original browser window.  
Publisher(s) The companies that own Web Sites or Mobile Sites and Applications, and appointed/contracted by Ad Network to host and display Ad Material.  
Redirect Network Traffic stream of redirections from publishing sites, taking Users to a destination URL within the original browser window.  
Reporo The trading name of MobilewebAdz Ltd.  Any reference to Reporo can be considered to be MobilewebAdz Ltd.  
User Interface (UI) The interface available to Advertisers to monitor campaign performance, adjust bids, create or pause campaigns (Self Service Dashboard)
